BrainHQ Terms of Service

Welcome to BrainHQ, the private intelligence layer for your life and work. These Terms of Service ("Terms") govern your access to and use of the BrainHQ admin console, client applications, and associated services (collectively, the "Service") provided by Misty Interactive Studios Inc. ("we," "us," or "our").

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

BrainHQ provides an admin console for managing "second-brain" clients, processing uploads (such as Gmail, Outlook, documents, notes, images, and archives), and creating server-side training jobs. We deploy standalone client applications via Vercel that serve as a private offline intelligence layer using semantic search and OpenAI models.

3. User Data and Content

• Ownership: You retain all ownership rights to the data, emails, and files you upload to the Service ("User Content").
• License: By uploading User Content, you grant us a limited, non-exclusive license to parse, process, chunk, embed, and store your data solely for the purpose of generating your private Brain Index and providing the Service to you.
• Responsibility: You are solely responsible for ensuring you have the necessary rights and consents to upload and process the User Content, especially considering it may contain sensitive personal or corporate information.

4. Third-Party Services

BrainHQ relies on third-party infrastructure and APIs, including:

• OpenAI: For generating embeddings and conversational responses.
• Vercel: For deploying client applications.
• Supabase: For database and storage operations. Your use of BrainHQ is also subject to the terms and policies of these third-party providers.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose.
• Upload malicious code, viruses, or harmful materials.
• Attempt to gain unauthorized access to other clients' Brain Indexes.
• Exceed the prescribed upload limits (default 1 GB per request) without authorization.

6. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE." We make no warranties, express or implied, regarding the accuracy, reliability, or completeness of the AI-generated responses, memory clustering, or knowledge weaving.

7. Limitation of Liability

To the maximum extent permitted by law, Misty Interactive Studios Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

8. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes. Your continued use of the Service constitutes acceptance of the modified Terms.
